The Corporate Affairs Commission (CAC) has announced a major regulatory move to delist approximately 100,000 dormant companies from its official register, citing longstanding non-compliance with statutory obligations.
In an official statement posted on its Instagram page on Tuesday, the Commission revealed that the affected companies had failed to comply with the Companies and Allied Matters Act (CAMA) 2020, particularly the requirement to file annual returns.
According to the CAC, this latest action marks the fifth batch of delistings, following an earlier notice issued in late 2024 targeting companies that have not submitted their annual filings for over a decade. The Excel document published alongside the fresh notice on the Commission’s website lists the names of nearly 100,000 companies that have been inactive for an estimated 10 years. Most of these entities were incorporated between 2002 and 2006.
“The General Public is hereby informed that the Corporate Affairs Commission has commenced another round of striking off companies that have not complied with the provisions of the Companies and Allied Matters Act 2020 from the Register in accordance with the requirements of the Act,” the statement read.
The CAC warned that companies listed in the latest batch risk losing their corporate status entirely if they fail to take corrective action within 90 days of the publication. Affected entities are required to file their outstanding annual returns and update their information on Persons with Significant Control (PSC) or Beneficial Ownership, as mandated by law.
“It is unlawful for any company struck off the Register to continue to operate or conduct business, as such an entity loses all legal recognition,” the Commission emphasized.
This regulatory purge comes on the heels of the CAC’s recent deployment of the Intelligent Company Registration Portal — a new AI-driven system designed to modernize and streamline the business registration process in Nigeria. The innovation is part of the Commission’s broader strategy to enhance transparency, regulatory compliance, and ease of doing business in the country.
Stakeholders, company directors, and the general public are advised to visit the CAC website to verify whether their companies are affected and take urgent steps to regularize their status within the stipulated period.
As the crackdown continues, this move signals a firm commitment by the Commission to sanitize Nigeria’s corporate registry and enforce statutory compliance among registered businesses.
